Steps Involved for Registration of a One Person Company

We follow a systematic approach for company registration. The process starts with the documentation, we have developed an ORDER FORM which captures th every basic information required for company registration, the same may be downloaded by clicking here. we require Two colour photo, Signed copy of Pan Card & Address Proof of the proposed directors, Proof of premises where th ecompany is being registered and signature on the forms are prerequisite to begin th eprocess. Step No-1 : Digital Signature of the primary director (Applicant) :

Ministry of corporate affairs is 100% paper less office, all kinds of application to the MCA / ROC is filed electonically which is digitally signed by the applicant. Only one digital signature is needed. the relevent class of signature(dsc) is two, To obtain a class 2 digital signature applicant need to sign the form (Click here to download the digital signature form) the form need to be accompanied with self attested copy of pan card, address proof and color photograph of the applicant.

Step No-2 : DIN (Director Identification Number) of all the Directors :

This is a prerequisite to begin the registration process of the co. the DIN is a unique number allotted to the director of the company which remains same through out the life of the director. to obtain DIN we require pan card, address proof and colour photograph of all the directors and an affidavt duly notarised as per the annexure-1 on stamp duty of Rs. 10/- click here to download Annexure-1. This process is an online process which requires certification from a practicing CA/CS/CWA.

Step No-3 : Name Availability of Co :

Promoters need to provide six names of the proposed company in order of preference along with significance of words used. Attention of the applicant is invited towards Name availability Guideline so that while deciding the Name of company applicant is well aware of the provisions. The names which is similar or phonetically idetical to any other company, or trade mark / brand are considered as undesirable names and is normally not approved by the ROC. our relationship managers may be contacted for assistance.

Step No-4 : Drafting of MOA and AOA :

Memorandum of Association and Articles of Association of the company is drafted after the name of the company is approved. the MOA is a document wich limits the activity / object of the company and the capital, where as the articles of association is rules and regulation of the company which shareholders adopts. The last page of the MOA and AOA is reffered as subscriber sheet which need to be filled in by the promoters in their own hand and to be signed.

Step No-5 : payment of ROC Fee and Incorporation :

After the MOA and AOA is drafted and signed the same if submitted to ROC along with statutory form and prescribed fee. The issuance of certificate of incorporation is the final stage of the process
